About the Job
Sarvaank Associates is hiring an Associate/Senior Associate for its Corporate Practice in New Delhi. The full-time role involves working on private equity and venture capital investments, M&A transactions, fund-related matters, corporate advisory, and commercial transactions.
The designation of Associate or Senior Associate will depend on the candidate’s relevant experience.
Eligibility
Candidates must:
- Hold an LL.B. degree from a recognised law school. An LL.M. or specialisation in corporate/commercial law will be an advantage.
- Have 2–3 years of experience for the Associate position or 3–5 years of experience for the Senior Associate position.
- Have prior law firm experience in Private Equity, Venture Capital, M&A, or commercial transactions.
- Possess a strong understanding of the Companies Act, FEMA, SEBI regulations, and general corporate-commercial laws.
- Have prior experience in drafting and negotiating investment documents, including SHA, SSA, SPA, term sheets, and commercial agreements.
- Have experience in due diligence, transaction structuring, and regulatory compliance matters.
- Familiarity with the start-up ecosystem, cap tables, ESOPs, and fund investments is preferred.
- Possess strong legal research, analytical, drafting, and communication skills.
- Be capable of independently managing client interactions and multiple time-sensitive matters.
Responsibilities
The selected candidate will be responsible for:
- Drafting and reviewing investment documents, shareholders’ agreements, commercial contracts, and other transaction-related documentation.
- Conducting legal research on corporate, regulatory, and data privacy frameworks.
- Providing advisory support on private equity and venture capital investments, fund-related matters, and M&A transactions.
- Assisting with legal due diligence, transaction structuring, and regulatory compliance for high-growth companies and investors.
- Engaging directly with founders, funds, and family offices.
- Managing client communications and providing strategic legal solutions throughout clients’ business lifecycles.
